PREAMBLE & IDENTIFICATION

These General Terms and Conditions of Sale (the "General Conditions") apply to all sales of artworks (original pieces, limited editions, and fine art prints) made by Wendy NOUSE / Studio Wendy Nouse, headquartered at 33 Avenue Maréchal Foch, 77590 Bois-le-Roi, France (hereinafter "the Seller" or "Artist"), through the website wendynouse.com or off-site transactions.

The term "Buyer" refers to any individual or legal entity purchasing an artwork. By making a purchase or signing an order confirmation, the Buyer agrees to be bound by these General Conditions.

1. ARTWORKS & PRODUCTION PARTNERS

  • Original Artworks: Created, hand-packed, and dispatched directly by the Artist from France.

  • Art Prints (Print-on-Demand): Fine art prints, canvases, and framed prints are produced on demand and fulfilled by our printing partner, Prodigi Group (Terms & Conditions).

  • Condition: Original artworks are sold in the condition presented at the time of purchase. Characteristics, dimensions, and specifications are described as accurately as possible.

2. PRICES & TAXES

  • Prices: All prices are displayed in Euros (€) excluding shipping, packaging, and framing fees unless stated otherwise.

  • VAT Regime: « TVA non applicable – article 293 B du CGI » (Franchise in base VAT regime for artists-authors in France).

  • Customs & Duties: For deliveries outside the European Union, the Buyer is responsible for paying any import taxes, customs duties, or clearance fees required by their local destination country.

3. PAYMENT TERMS

  • Methods: Payment is due immediately upon ordering via credit card (Shopify Payments, Stripe) or PayPal.

  • Retention of Title (Art. 2367 Civil Code): The Artwork remains the full physical property of the Seller until total payment of the purchase price is received.

  • Late Payments (B2B transactions): Late payments incur statutory interest under Article L. 441-10 of the French Commercial Code, plus a fixed recovery compensation of €40 for professional buyers.

4. SHIPPING, DELIVERY & RISK TRANSFER

  • Fulfillment: Original artworks are shipped via Colissimo / La Poste or specialized couriers. Prints are fulfilled via Prodigi's global courier network.

  • Risk Transfer: Risk of loss or damage passes to the Buyer upon physical delivery of the goods to the Buyer or their designated recipient.

  • Inspection & Damage in Transit: The Buyer must inspect the package upon arrival. If the item arrives damaged:

    • Contact us within 48 hours to 7 days at studio[@]wendynouse.com with photos of the damaged item and packaging.

    • For damaged prints, a free replacement will be arranged immediately.

    • For original works, transport insurance claims will be initiated to process a full refund or repair solution.

5. RIGHT OF WITHDRAWAL (14-DAY COOLING-OFF PERIOD)

  • EU Consumers: Buyers residing in the European Union have 14 days from delivery to exercise their statutory right of withdrawal without providing a reason.

  • Exclusions: Under Article L. 221-28 of the French Consumer Code, the right of withdrawal does not apply to custom-made commissions or personalized artworks created specifically at the Buyer’s request.

  • Return Conditions: To request a return, email studio[@]wendynouse.com. The artwork must be returned unused, undamaged, and inside its original protective packaging. The Buyer pays return shipping (insured for original art). Upon receipt, a 100% refund of the purchase price will be issued within 10 business days.

6. INTELLECTUAL PROPERTY & AUTHOUR'S RIGHTS

The sale of physical artwork transfers physical ownership only. All intellectual property rights and reproduction rights remain the sole property of Wendy NOUSE.

  • The Buyer may not reproduce, represent, or exploit the artwork for commercial purposes without explicit written authorization or an ADAGP licensing agreement.

  • Mandatory artist credit for any promotional or public display: « © Wendy NOUSE / ADAGP ».

7. LIMITATION OF LIABILITY & FORCE MAJEURE

Neither party shall be liable for delays or failure to perform contractual obligations if caused by events of Force Majeure as defined under Article 1218 of the French Civil Code (including transport strikes, natural disasters, or severe logistics disruptions).

8. DATA PROTECTION (GDPR)

Personal data collected for processing orders, invoices, and shipping is managed in accordance with our Privacy Policy. The Buyer has rights to access, correct, or request deletion of their data by contacting studio[@]wendynouse.com.

9. AMICABLE SETTLEMENT & MEDIATION

In the event of a dispute, the Buyer agrees to contact the Seller first to seek an amicable solution:

If an amicable agreement cannot be reached, EU consumer buyers may refer the dispute to consumer mediation:

10. APPLICABLE LAW

These General Terms and Conditions of Sale are governed by French Law. Any unresolved dispute shall fall under the jurisdiction of the competent French courts.
